Official Rules

NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN THIS COMPETITION. A PURCHASE OR PAYMENT WILL NOT INCREASE YOUR CHANCES OF WINNING. VOID WHERE PROHIBITED BY LAW AND OUTSIDE CANADA. SUBJECT TO ALL FEDERAL, PROVINCIAL, AND LOCAL LAWS, REGULATIONS, AND ORDINANCES.

PARTICIPATION CONSTITUTES YOUR ACCEPTANCE OF THESE TERMS AND CONDITIONS. PLEASE READ CAREFULLY.

1.0 General

1.1 The C-Tribe x Gaming Pitch Quest (“the Competition” or the “Organization”) is organized by C-Tribe Society (“C-Tribe”) and its affiliates. C-Tribe is a non-profit organization with the objective of celebrating diversity and helping more underestimated innovative and creative people achieve their dreams. The Competition is focused on increasing both the pipeline of diverse game developers and the number of underrepresented game developers, many of whom will benefit from peer support, high-quality mentorship, and connections to resources, to succeed at raising the startup capital (both dilutive and non-dilutive) needed for their ventures. These are concentrated on game developers from diverse backgrounds, and the preeminent annual prize competitions will reach their peak at a prominent national event. Here, a handpicked group of game developers with high potential will have the chance to pitch to an audience composed of distinguished judges and investors and receive both monetary non-dilutive grants and dilutive investments. Beyond this event, C-Tribe aims to bridge connections between the most promising game developers, studios, investors, publishers and opportunities for accelerator and incubator programs.

1.2 The Competition is global and is open to all eligible applicants as outlined in the Competition Eligibility Criteria.

1.3  Outlined in further detail below, eligible contestants participating as teams can submit their entries starting from April 1, 2024, at 8:00 AM Mountain Standard Time (MST) and continuing until June 30th, 2024, at 11:00 PM MST, constituting the official "Entry Period." Chosen teams will be invited to partake in learning and assessment activities as components of the judging process running from July 1st, 2024, through July 15th, 2024. Finalists will then be requested to showcase their business during the C-Tribe x Gaming Pitch Quest Event (the "Event") set to take place on August 16th, 2024 (the “Event Date”).

2. Binding Agreement

To partake in the Competition, each competitor (identified in this document as "you", "your", or "Entrant," either individually or as part of a team) must adhere to these C-Tribe x Gaming Pitch Quest Terms and Conditions, the Organization Terms of Services located here, and the Organization Privacy Policy located here (collectively, the "Official Regulations"). By submitting an Entry (clarified in Section 4.0 below), you fully comprehend and consent to these Official Regulations. Participation, which includes submitting an Entry or receiving any prize outlined in these Official Regulations, is contingent upon your acceptance and commitment to comply with these Official Regulations. Unless otherwise stated, all times mentioned in these Official Regulations or related to the Competition adhere to Mountain Standard Time. The official timekeeping device for this Competition is the Organization's computer.

3. Eligibility

3.1. Composition of Teams

3.1.1. Team Configuration

To be eligible for this Competition, each contestant must be part of a team (referred to as the "Team"). The minimum number of Team members is two (2). Participants can be a part of a maximum of two (2) Teams, excluding the Lead member (defined below), who may only compete on one (1) Team. Only the first Entry will be retained if a single Lead submits two (2) or more Entries. If an individual who is not a Lead appears in three (3) or more Entries, only the first two (2) Entries will be kept. The order of Entries will be determined by the timestamps on each Entry, as indicated by the C-Tribe platform on which the Entry was accepted.

3.1.2. Team Members

To qualify, all Team members must be at least eighteen (18) years of age or older and above the legal age of majority in their jurisdiction of residence as of the date of Entry. Employees, officers, directors of C-Tribe, their immediate family members (spouses, parents, siblings, and children, regardless of where they reside), and those living in the same household are not eligible to enter or win.

3.1.3. Team Lead

Teams will designate one (1) member as the lead (the “Team Lead” or the “Lead”) to represent the Team, liaise with the Organization, and legally bind each Entrant on the Team’s behalf to the Official Rules and all decisions related to this Competition, and if applicable, the prize. Any reference to “Entrant” herein refers to the actions of the Team Lead and every Team member. The Lead will be domiciled in the country of the Venture's formation, and the Venture (as further defined in Section 3.2 below) will be legally established under its respective country's law. The Lead will be the Founder, CEO or President of the Venture, or if there is no CEO or President, the Lead will be the highest-ranking Founding Member on the Team. If there are multiple Founding Members with similarly senior roles on the Team, the Team will designate only one (1) Founding Member as the Lead. The Lead must sign the C-Tribe Founders’ Commitment (featured on the application found here and agree to these Official Rules to enter the Competition. Each Team may apply for one and only one C-Tribe x Gaming Pitch Competition in a given cycle. If a single Team submits two (2) or more Entries, only the first Entry will be kept, as determined by the timestamps on each Entry as shown by the C-Tribe platform on which the Entry was accepted.

3.2. Compliance and Eligibility Evaluation

Throughout the Competition, including the receipt of the Prize, all Teams and their members must comply with the Official Rules' eligibility criteria. At any stage during the Competition, the Organization retains the right to review the Entrant’s and/or Team’s eligibility and compliance with these Official Rules. If the Organization requests any assistance in assessing the Team's compliance or any member's compliance, you agree to provide such assistance promptly. Failure to provide the requested assistance on time or if the Organization believes or determines that you're not complying with these Official Rules, you and/or your Team may be disqualified and forfeit any benefits or prizes received at the Organization’s sole discretion.

4.0 Entry/Submission and Project Details

4.1. Submission Procedure

The Competition will be opened to interested parties via an application starting April 1, 2024, at 8:00 A.M. MST. The launch of the application period will be announced through email communication, a notice on the Competition’s Website (as defined in Section 4.2 (Application) below), and on various social media platforms.

4.2. Submission Details

To qualify for any Organization’s prize, Entrants must visit the Website and answer all questions per the instructions provided by no later than the Entry Deadline. Information requested includes, but isn't limited to (a) Entrants' names and contact details; (b) a description of the Venture, including the game’s genre or category area, the Venture's legal status, its progress-to-date, the gameplay and mechanics, the Venture's target audience, and marketing strategy; and (c) a summary of the project plan & timeline and each Entrant's experience and capabilities (the "Entry"). Incomplete submissions, or submissions that don't meet the requirements set forth herein, won't be eligible to progress to the evaluation round. All information must be in English.

4.3. Entry Prerequisites

To be eligible for any prize, your Entry must describe an original and innovative Venture in at least one of the areas outlined above in Section 3.1. (Eligible Industry Focus Categories), and meet the following prerequisites (“Entry Prerequisites”):

• The Entry must not infringe upon the rights of others, including but not limited to patent, trademark, trade secret, copyright, publicity, privacy or other proprietary rights. It must be your original work, or you must have secured all rights necessary from third parties for materials that aren't originally yours to submit and allow the Organization to utilize the Entry (see the “Warranty” Section below for more details);
• The Entry must not contain any malware or be harmful to our computer system or those of others;
• The Entry must not misrepresent your affiliation with any person or entity;
• The Entry must not be unlawful, threatening, abusive, harassing, defamatory, libellous, deceptive, fraudulent, invasive of another’s privacy, tortious, or contain explicit or graphic descriptions or accounts of sexual acts, or contain any other objectionable content;
• The Entry must not victimize, harass, degrade, or intimidate an individual or group of individuals based on religion, gender, sexual orientation, race, ethnicity, age, or disability;
• The Entry must be within the general spirit and guidance of the Competition, including adhering to these Official Rules and the Entry Prerequisites;
• The Entry must not contain any advertisement or solicitation unrelated to the Venture;
• The Entry must not contain any imagery, content, recording, or other audio or visual element that a third party owns and
• The Entry must be in English.

When you submit your Entry, you need to agree to the Official Rules. To be considered, the Organization needs to receive your Entry by the Entry Deadline. Late submissions will not be eligible. The Organization will keep all materials submitted with Entries and will not acknowledge or return them. In case a dispute arises concerning the identity of the Entrant, the Entrant will be deemed as the Authorized Account Holder of the email linked to the account used for Competition entry. The "Authorized Account Holder" refers to the individual assigned to an email address by an Internet service provider or any other organization responsible for assigning email addresses for the associated domain.

5.0 Judging and Assessment Process and Criteria

The Organization will initially screen all received Entries to check if they fulfill the basic Competition requirements and pass a minimum quality benchmark based on completeness, coherence, and credibility.

5.1. Assessment Criteria

The Organization, aided by independent evaluators with business, investing, and/or subject matter expertise (“Judges”), will review all Entries and score them based on the evaluation criteria listed below (“Evaluation Criteria”):

• Art Direction: Does the game's visual style align with its intended atmosphere and theme? Is the art direction innovative and visually appealing? Do the graphics and animations contribute to an immersive gaming experience? (15%)
• Game Writing: Is the game's narrative engaging and well-structured? Are the characters well-developed, relatable, and memorable? Does the game's writing enhance the overall player experience? (15%)
• Game Play & Mechanics: Are the game mechanics intuitive and easy to grasp? Is the gameplay balanced and enjoyable for players? How do the mechanics contribute to the game's overall appeal and fun factor? (20%)Originality: What unique elements or concepts does the game introduce? How does the game stand out from others in the same genre or category? Does the game offer fresh and innovative gameplay or storytelling? (20%)
• Quality of Team: Who is behind your vision? What makes them a dedicated, innovative founding team with the necessary experience or skills to succeed? (15%)
• Overall application: Is the application clear, concise, and persuasive? (15%)

5.2. Selection of Semi-Finalists

The Organization, supported by a panel of independent evaluators with business, game development,  investing, and/or subject matter expertise (“Judges”), will review each Entry and score it based on the above Evaluation Criteria.

Each Entry will be judged by a panel consisting of at least two (2) Judges.

Based on the scores and distribution, up to 10 Teams will be selected as semi-finalists ("Semi-Finalists"). In case of a tie, the tied Teams will be re-assessed based on the first three (3) criteria from Section 5.1 (Evaluation Criteria) above, with the Entry receiving the highest total score and moving to the next round, where applicable.

5.2.1. Semi-Finalist Notification

Teams will be notified whether they have advanced to the semi-finalist round within 2-5 days of the Entry Deadline.

5.2.2. Submission of One-page Update

All Semi-Finalists may be asked to submit a one-page update on their Venture by November 18, 2024, which covers (a) key updates and changes regarding the Venture since their application was submitted and (b) responses to questions and feedback from application reviewers.

5.2.3 Due Diligence; Additional Vetting Check

Members of Teams selected as Semi-Finalists may undergo further vetting and due diligence as part of the assessment process. By participating in the Competition, Team members agree to sign any required documentation and provide any information necessary to complete the vetting and diligence. Members who fail to provide the required information or sign the necessary documentation may lose their eligibility, and their Team could be disqualified from further participation.

5.3. Selection of Finalists

An independent panel of at least two (2) Judges will review the top fifty (50) or more applications and choose up to ten (10) finalist Teams ("Finalists") who will advance to the Event based on the aforementioned criteria. Each Finalist Team will receive opportunities for mentorship with the Organization or its Partners and Affiliates at the discretion of the Organization.

In case of a tie among the Finalists, the tied Entries will be reassessed based on the first three (3) criteria in Section 5.1 (Evaluation Criteria) mentioned earlier, with the Entry having the highest aggregate score advancing to the Event.

5.3.1. Notification for Finalists

Teams will learn if they are advancing to the Final Round within four (4) days of being informed of their Semi-Finalist status.

5.3.2. Collaboration with a Pitch Coach and Graphic Designer

By July 30th, 2024, each Finalist Team must engage with a Pitch Coach and graphic designer furnished by the Organization to prepare for the Event. At least one representative from each Team must participate with the Pitch Coach and graphic designer.

5.3.3. Requirement for Affidavit and Release

Each member of the Finalist Teams will be asked to sign an Affidavit and Release, similar to the one stated below in Section 13 (Nature of Relationship/Waiver of Equitable Relief). They will also be required to grant the Organization and its agencies unrestricted rights to publish and use the finalists’ name, hometown, a brief summary of the Entry, and/or prize information for promotional purposes globally without limitation and without additional compensation, except where forbidden by law.

5.4. Selection of Winners/the Event

All Finalist Teams must attend the C-Tribe x Gaming Pitch Quest (the "Event"), scheduled for August 16th, 2024. During this event, all Finalist Teams will present their pitches to a panel of four (4) independent judges with expertise in the industries detailed in Section 3.2. Based on these pitches, five (5) Teams will be chosen as the prize-winning Teams.

In the case of a tie, the tied Teams will be reevaluated based on the top three criteria from Section 5.1 (Evaluation Criteria) above, with the Venture application garnering the highest score chosen to receive a prize, as applicable. At the conclusion of the final Event in August 2024, Finalists will be informed if they have won a prize, subject to winner verification.

5.5. Verification of Winners

To be eligible for a prize, potential winners must continue to abide by all terms and conditions of these Official Rules. Every member of the winning Teams will be asked to sign a winner verification and release agreement ("Prize Documents") with the Organization, which will entail, without restriction, (i) a release of the Released Parties similar to what is laid out in Section 13 (Nature of Relationship/Waiver of Equitable Relief), and (ii) a concession to the Organization and its agencies of unrestricted rights to publish and use the winner’s name, hometown, likeness, a brief summary of the Entry, and/or prize information for promotional purposes globally without limitation and without additional compensation, except where forbidden by law; as well as (iii) the Organization Grant Agreement as described in Section 6.1 (Funds), below. If a member of a potentially winning Team cannot be contacted, fails to sign and return the Prize Documents within the set time frame or provide the required information promptly, or is found to be ineligible under the Official Rules, the Organization may disqualify the member and/or the entire Team from receiving a prize at its sole discretion. If a prize is forfeited, if winners are disqualified, or if any prize or prize notification is returned as undeliverable, the Organization may award the forfeited prize to the Team with the next highest score according to the Judges’ scoring at its discretion and if time permits. This process may be repeated until a winning Team is established at the discretion of the Organization; otherwise, the prize will remain the property of the Organization and will not be awarded. Any federal, state, local and other taxes and duties that may arise as a result of winning a prize are the exclusive responsibility of the prize winner.

POTENTIAL FINALISTS/WINNERS ARE SUBJECT TO VERIFICATION BY THE ORGANIZATION, WHOSE DECISIONS ARE FINAL AND BINDING IN ALL MATTERS RELATED TO THE CONTEST. AN ENTRANT IS NOT A WINNER OF ANY PRIZE UNLESS AND UNTIL THE ENTRANT'S ELIGIBILITY HAS BEEN VERIFIED AND THE ORGANIZATION HAS CONFIRMED THAT VERIFICATION IS COMPLETE. DECISIONS REGARDING PRIZE AWARDS ARE AT THE SOLE DISCRETION OF THE ORGANIZATION AND CANNOT BE APPEALED OR CONTESTED.

6.0 Prizes
7.0. Publicity and Intellectual Property Rights
UNLESS RESTRICTED BY LAW, PARTICIPATION IN THIS COMPETITION IMPLIES THE CONSENT OF THE ENTRANT TO THE ORGANIZATION AND ITS AUTHORIZED EMPLOYEES, REPRESENTATIVES, CONTRACTORS, OR THOSE ACTING UNDER ITS AUTHORITY, TO USE THE ENTRANT’S LIKENESS, PHOTOGRAPH, AUDIO-VISUAL FOOTAGE, NAME, BIOGRAPHICAL DETAILS, A 2-3 SENTENCE SUMMARY OF THE ENTRY, VOICE, OR ANY OTHER EVIDENCE OF PARTICIPATION IN ANY COMPETITION-RELATED EVENT FOR PROMOTIONAL AND PUBLICITY PURPOSES IN ANY AND ALL MEDIA, NOW KNOWN OR DEVELOPED HEREAFTER, WORLDWIDE (INCLUDING WINNERS LIST) WITHOUT ADDITIONAL COMPENSATION OR NOTIFICATION. IN ADDITION, THE ENTRANT AUTHORIZES THE ORGANIZATION AND ITS AUTHORIZED EMPLOYEES, REPRESENTATIVES, CONTRACTORS, OR THOSE ACTING UNDER ITS AUTHORITY TO FILM, PHOTOGRAPH AND INTERVIEW THE ENTRANT AND DOCUMENT THE ENTRANT’S PARTICIPATION IN ANY COMPETITION-RELATED EVENT. THE ENTRANT, THEREFORE, TRANSFERS AND ASSIGNS TO THE ORGANIZATION ALL RIGHTS, TITLE AND INTEREST IN ANY AND ALL INTERVIEWS, PHOTOGRAPHIC IMAGES, VIDEO AND AUDIO RECORDINGS, AND STATISTICAL MEASUREMENTS THAT INCLUDE THE ENTRANT’S DEMOGRAPHIC INFORMATION. THE ENTRANT WAIVES ANY RIGHT TO INSPECT OR APPROVE ANY RELATED MATERIALS OR THEIR USE.

THE ENTRANT GRANTS THE ORGANIZATION AND ITS AUTHORIZED EMPLOYEES, REPRESENTATIVES, CONTRACTORS, OR THOSE ACTING UNDER ITS AUTHORITY, A LIMITED, NON-EXCLUSIVE, IRREVOCABLE, WORLDWIDE LICENSE TO THE ENTRY AND ANY OTHER COMMUNICATIONS, CREATIVE SUGGESTIONS, IDEAS, NOTES, CONCEPTS OR OTHER MATERIALS THAT THE ENTRANT MAY SUBMIT TO THE ORGANIZATION OR POST TO WWW.CTRIBEFESTIVAL.COM IN RELATION TO THIS CONTEST (ALONG WITH THE ENTRY, “SUBMISSIONS”) TO EDIT, MODIFY, PUBLISH, REPRODUCE, USE, DISCLOSE, DISSEMINATE AND DISTRIBUTE THE SUBMISSIONS FOR THE PURPOSES OF CARRYING OUT THE CONTEST, INCLUDING:

• SHARING THE ENTRY OR PORTIONS OF THE ENTRY WITH INDEPENDENT EVALUATORS AND JUDGES FOR THE SELECTION PROCESS;
• PUBLICIZING AND PROMOTING THE EVENT BY SHARING A 2-3 SENTENCE SUMMARY OF THE ENTRY;
• EVALUATING AND IMPROVING THE DESIGN OF FUTURE COMPETITIONS, BY SHARING A 2-3 SENTENCE SUMMARY OF THE ENTRY IN PROGRAM MATERIALS AND DEMOGRAPHIC INFORMATION FOR STATISTICAL MEASUREMENT PURPOSES.
• IF ANY USE OF THE SUBMISSIONS BY THE ORGANIZATION LEADS TO LEGAL LIABILITY TO A THIRD-PARTY, E.G., DUE TO THE ENTRANT’S PLAGIARISM OR VIOLATION OF INTELLECTUAL PROPERTY RIGHTS, THE ENTRANT AGREES TO INDEMNIFY AND DEFEND THE ORGANIZATION AND ITS AGENTS, EMPLOYEES, AFFILIATES, SUBSIDIARIES, REPRESENTATIVES, AND ALL RELATED PARTIES FROM ANY DAMAGES, COSTS, JUDGMENTS, AND EXPENSES (INCLUDING REASONABLE ATTORNEY FEES) THAT MAY BE INCURRED AS A RESULT OF THE ORGANIZATION'S USE OF THE SUBMISSIONS.
8.0 Warranties
Each Entrant assures the following:

They will not infringe on any intellectual property rights, confidentiality obligations, privacy rights, or other rights of any person or entity.All information provided throughout the Competition is accurate and complete. Any Entrant found to have withheld relevant information impacting the Organization's decision to support their Venture, or provided false information, understands that the Organization will have the right to withdraw any Organization Grant Agreement immediately, in addition to any other remedies available by contract or by law.
9.0 Legal Status
Entrants are independent of the Organization, and nothing in or relating to any prize will be interpreted as creating an employer/employee relationship with the Organization. The Organization will not be responsible for any loss, accident, damage, or injury experienced by the Entrants during or as a result of participation in the Competition, including travel, whether it happens on the Organization's premises or not.
10. Electronic Communications
Participant understands and agrees to digital communication and receipt of all documentation related to the Competition as identified by the Organization. Participant also acknowledges and accepts:

• the transference of their personal data to Canada for storage on the Organization’s servers there;
• the act of providing consent to these Official Rules through a digital affirmation, representing a binding form of their electronic signature, which obligates them to these Rules;
• to ensure that all information provided will be complete, updated, and accurate;
• the availability of a printer or other device to print or save communications and documents including, without limitation, these Official Rules and that they have indeed printed or saved a copy of these Official Rules for their records.

Acceptance of these Official Rules and any consent expressed here remains effective unless and until withdrawn. Consent to digital communication and delivery of documents can be revoked, contact information can be updated, or a paper copy of these Official Rules can be requested for free at any time by contacting

11. Limitation of Liability/Release
By participating in the Competition, Participants and winners, on their own and on behalf of their family, heirs, assignees, successors, executors, and administrators, and employers (if applicable) permanently, irrevocably and forever waive and relinquish any and all rights, demands, losses, liabilities, claims and causes of action they may currently or in the future hold against the Organization, and all others involved in the development and execution of the Competition (collectively, the “Released Parties”), including, but not limited to, any (i) death, injury, loss of enjoyment or other harm or loss of any kind resulting from, contributed to, or arising out of the Competition and/or any prize awarded, (ii) demand for additional compensation or any other claim related to the Competition or what the Organization provides, (iii) claim relating to unauthorized human intervention in the Competition or technical errors that may impede participation, (iv) any claims relating to errors in the administration of the Competition, (v) any claims that the Participant's Entry infringes any copyright, trademark, or other intellectual property right, (vi) disputes between Participants, (vii) disputes between Participants and their employers, (viii) claims relating to damage to persons or property in any way related to participation in the Competition, and forever release and discharge the Released Parties from any and all liability with respect to these matters. The Released Parties are not responsible for any error, omission, interruption, deletion, defect, or delay in operation or transmission; failure of communication lines; unauthorized access or theft or destruction of the Website or any other website involved in the Competition, or any registration, voting, judging, or winner selection. PARTICIPANT AGREES THAT IN NO EVENT SHALL ORGANIZATION BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM OR CONNECTED IN ANY WAY TO PARTICIPATION IN THE COMPETITION OR USE OF ANY ORGANIZATION MATERIALS BY PARTICIPANT OR ANYONE ELSE, REGARDLESS OF WHETHER IT'S BASED ON CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE, EVEN IF ORGANIZATION HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND EVEN IF SUCH DAMAGES ARE FORESEEABLE.Nothing in these Official Rules should be interpreted as granting permission to use or display any of the Organization’s trademarks (including any logo or brand) or rights in any Organization technologies or intellectual property. Moreover, nothing should permit promotion of your participation or involvement in the Competition without the prior written consent of the Organization.
12. General Conditions
The Organization reserves the right, at its sole discretion, to disqualify and seek damages from any individual or Participant who does not comply with any provision of these Official Rules, cheats, tampers with or manipulates the operation of the Competition, or otherwise acts in a disruptive or inappropriate manner.The Organization is not responsible for late, incorrect, misdirected, or incomplete entries, or for any computer-related, online, telephonic, or technical malfunctions that may occur. Proof of transmission does not constitute proof of entry. Entries will be considered void if they are in whole or in part illegible, incomplete, damaged, irregular, altered, counterfeit, produced in error, forged, mechanically reproduced or obtained through fraud or theft, or if they contain an Entry that does not meet the requirements.

Failure by the Organization to enforce any term of these Official Rules shall not constitute a waiver of that provision; to be enforceable, a waiver must be in writing and signed by an authorized representative of the Organization. These Official Rules, together with any release and any Organization Grant Agreement signed by a Participant and the Organization represent the complete agreement between Participant and the Organization with respect to the Competition and supersede all prior and contemporaneous communications in any form between Participant and the Organization with respect to the Competition. No joint venture, partnership, franchise, employment, alliance, or agency relationship exists between Participant and the Organization as a result of these Official Rules or the Competition. If any part of these Official Rules is held by a court to be contrary to law, that part shall be changed and interpreted so as to best accomplish the objectives of the original parties to the fullest extent allowed by law, and the remaining parts of these Official Rules will remain in full force and effect.
13. Relationship Nature and Equitable Relief Waiver
Every Participant understands and acknowledges that the Organization has broad access to ideas, designs, and other materials, with new concepts continually being proposed or created by its employees. Each Participant also acknowledges that many ideas may compete with, or be similar or identical to the Entry in terms of theme, concept, format, or other aspects. Each Participant acknowledges and agrees that they won't be entitled to compensation due to the Organization’s use of any material similar or identical to their Entry. Each Participant agrees that the Organization neither has nor will have any duty or liability, whether direct, indirect, vicarious, contributory, or otherwise, with respect to any copyright infringement or protection relating to the Submission. Lastly, each Participant acknowledges that, with regards to any claim by the Participant relating to or arising out of the Organization’s actual or alleged exploitation or use of any Entry or other material submitted for the Competition, the damage, if any, caused to the Participant will not be irreparable or sufficient to enable such Participant to seek injunctive or other equitable relief or to in any way stop the production, distribution, exhibition, or other exploitation of the Entry or any material based on or allegedly based on the Entry. The Participant's rights and remedies in such event are strictly limited to the right to recover damages, if any, in a legal action.
14. Power to Modify or Terminate
The Competition is provided by the Organization “as is” and does not carry any warranty. If the Organization deems that the operation, security, or administration of the Competition is impaired, it may, at its sole discretion, without limit: (a) suspend the Competition to address the issue and then resume it; (b) cancel the Competition and award the prize(s) based on the above-mentioned criteria from among the eligible Entries received until the time of impairment; and/or (c) take any other reasonable action as deemed necessary by the Organization based on the situation. The Organization reserves the right to cancel, terminate, modify or suspend the Competition at its sole discretion. It also reserves the right to modify the Official Rules at any time and for any reason. If the Official Rules are modified, the Organization will post the updated rules on the Website. If the Organization modifies the Official Rules, your Entry submission, continued participation in the Competition, or receipt of a prize signifies your acceptance of the modified Official Rules.
15. Force Majeure
Without limiting the Organization’s other rights specified in these Official Rules, the Organization reserves the right (at its sole discretion) to suspend, modify and/or terminate the Competition and/or prize award in the event that the completion of the Competition is prevented or disrupted due to force majeure events, including any strike, fire, war, terrorist or governmental action, illness, epidemic, pandemic, or any disruptive event beyond its control. In case of force majeure suspension or postponement, the Competition and/or prize award will be deemed extended by a period equivalent to any suspension period(s), unless stated otherwise on the Website.

Notwithstanding the above, no termination under this provision will affect the Organization’s rights under this agreement or any of its rights concerning the Competition, which will remain in full force and effect.
16. Governing Law
The Competition is ruled by the Province of Alberta laws, excluding considerations for conflicts of law. These Official Rules are formulated in, and will be interpreted and applied solely according to, the laws of Alberta.

All disagreements, claims or demands related to these Official Rules must first be reported to the other party involved. The party receiving the complaint has sixty (60) days from the receipt of such notice to rectify the breach or violation specified and inform the complaining party in writing about the resolution. If the dispute, claim or demand is not resolved to the satisfaction of the complainant within sixty (60) days, the complainant may request an informal resolution conference (mediation). If the other party agrees to this, it will be scheduled within twenty-one (21) days of the written response. Each party has the right to be represented by a lawyer at this conference and must ensure that a decision-maker with complete authority to settle the dispute on their behalf is present. The conference will take place in front of a mutually agreed-upon third-party mediator. If the parties cannot agree on a conference or are unable to resolve a dispute following a conference, they agree that any dispute, claim or demand related in any way to these Official Rules will be settled individually, without resort to any form of class action, by binding arbitration. All disputes arising from these Official Rules, regardless of their nature, will be submitted for binding arbitration under its rules in effect in Alberta at that time, before a mutually agreed-upon arbitrator. The parties agree to equally share the incurred arbitration costs.

Any personal information sent to, shared with, or collected by the Organization during this Competition is subject to the Organization’s Privacy Policy, which can be found at the provided link.
